Article 1 – Scope

All orders are subject to the buyer’s acceptance of the present terms. Any conflicting clauses appearing on purchase orders or correspondence shall be deemed null and void.

Article 2 – Orders

Orders may be placed directly with the seller or through its representatives using the company’s order forms, or by other means with the supplier’s approval.

Orders must specify product reference, quantity by size and color, prices excluding taxes, delivery timeframes, payment terms, company details, and bank references for first orders.

Restocking orders are payable in cash without discount.

Orders are firm and final unless otherwise agreed.

The supplier reserves the right to cancel or reduce orders due to technical reasons, supply issues, financial risk, force majeure, or insurer refusal.

Article 3 – Prices

Prices are EXW, excluding VAT, expressed in euros.

Article 4 – Delivery & Transport

Delivery is deemed completed upon handover to the first carrier. Goods travel at the buyer’s risk.

Claims must be made in writing within three days of delivery.

Delivery times are indicative only.

Article 5 – Invoicing

Invoices are dated as of issuance.

Article 6 – Payment

Cash payment within 8 days allows a 3% discount. Late payments incur statutory interest.

Article 7 – Retention of Title

Ownership remains with the seller until full payment is received.

Article 8 – References

References are indicative only and not contractual samples.

Article 9 – Defects

Apparent defects must be reported within 8 working days.

Article 11 – Counterfeiting

Any reproduction of models is strictly prohibited.

Article 12 – Advertising Material

Advertising materials remain the seller’s property.

Article 13 – Labels

Labels may not be altered without authorization.

Article 14 – Applicable Law

French law applies, supplemented by the Vienna Convention.

Article 15 – Jurisdiction

All disputes fall under the exclusive jurisdiction of the Paris Commercial Court.
